Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of the Entrpik manufacturing material requirements planning (MRP) service (the "Service") operated by WozNot ("Entrpik", "we", "us"), a company in the United Kingdom. By requesting an account, creating a company workspace, or using the Service, you agree to these Terms.

If you use the Service on behalf of a company, you represent that you have authority to bind that company, and "you" includes that company.

2. The Service

Entrpik provides web-based MRP and related manufacturing operations tools, including inventory management, bills of materials, purchase and work orders, fulfillment, material requirements planning, and optional modules that may be enabled per company (such as production scheduling, storage locations, production runs, and made-to-order).

Access is typically granted after an account request is reviewed and a company workspace is provisioned. Features and plan limits (including SKU limits) may vary by subscription plan.

Entrpik does not manufacture goods, guarantee production outcomes, margins, inventory accuracy, or compliance with any particular industry regulation. You remain solely responsible for operational decisions made using the Service.

3. Accounts and company workspaces

You must provide accurate information when requesting an account and keep credentials confidential. You are responsible for activity under your user account and for managing users invited to your company workspace.

Company data is isolated by workspace (multi-tenant). You must not attempt to access another company's data or circumvent authentication, authorization, or plan limits.

4. Plans, billing, and SKU limits

Plans are priced primarily by inventory size (SKU limits), not by number of users, unless we expressly state otherwise. Enterprise and custom limits may be agreed separately.

We may change plan prices or limits with reasonable notice for renewals. Failure to stay within plan limits or to pay applicable fees may result in restricted ability to add inventory or suspension of the Service.

5. Customer data

You retain ownership of operational data you submit to the Service (inventory, orders, BOMs, customers, suppliers, and related records) ("Customer Data"). You grant Entrpik a limited licence to host, process, and display Customer Data solely to provide and improve the Service, prevent abuse, and comply with law.

You represent that you have the rights to submit Customer Data and that doing so does not violate applicable law or third-party rights.

6. Acceptable use

You agree not to:

• Use the Service for unlawful, fraudulent, or harmful purposes
• Probe, scan, or attack the Service or other customers' data
• Reverse engineer or resell the Service except as permitted by law
• Upload malware or interfere with Service integrity or performance
• Misrepresent your identity or affiliation when requesting access

7. Intellectual property

The Service, including software, branding, and documentation, is owned by Entrpik and its licensors. These Terms do not transfer ownership of Entrpik IP to you. Feedback you provide may be used to improve the Service without obligation to you.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and use it only for purposes of these Terms, except where disclosure is required by law.

9. Suspension and termination

We may suspend or terminate access for material breach, non-payment, security risk, or inactive-company settings. You may stop using the Service at any time. Upon termination, your right to access the Service ends. We may delete or retain Customer Data as described in our Privacy Policy and any separate data-retention commitments.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTRPIK DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT COST, INVENTORY, OR PLANNING CALCULATIONS WILL BE COMPLETE OR ACCURATE FOR YOUR OPERATIONS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTRPIK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. ENTRPIK'S TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO ENTRPIK FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED US DOLLARS (USD 100) IF YOU ARE ON A FREE PLAN.

12. Indemnity

You will indemnify and hold harmless Entrpik from claims arising out of your Customer Data, your use of the Service, or your breach of these Terms, except to the extent caused by Entrpik's willful misconduct.

13. Changes

We may update these Terms by posting a revised version on the Service or website. Continued use after the effective date constitutes acceptance of the updated Terms, except where applicable law requires additional consent.

14. Governing law

These Terms are governed by the laws of England and Wales, United Kingdom, without regard to conflict-of-law rules. Courts of England and Wales will have exclusive venue, subject to mandatory consumer protections that cannot be waived.
